1. Contractual Relationship
Acceptance of Terms
These Terms & Conditions (“Terms”) form part of the Service Provider Agreement (“Service Provider Agreement”) entered into between Meshi Webtech Consultants Australia Pty Limited ( ACN : 617889362 ) , a company established in Australia having its registered trademark name as Assistance Anytime , hereinafter referred as “Assistance Anytime” and you ( , an individual and/or company, from within Australia) , the Service Provider , including its agent(s) (“Service Provider”) (“You”) together are also referred to in this Agreement as ‘us’, ‘we’ or ‘our’.
The Terms are incorporated in this Service Provider Agreement by way of reference and constitutes part of the binding Service Provider Agreement executed between the Assistance Anytime and the Service Provider.
Please read these Terms and conditions carefully. By accessing or using the Assistance Anytime Platform, you are agreeing to these Terms and Conditions and concluding a legally binding contract with Assistance Anytime. . If you do not agree to these Terms, you may not access or use the Services. These Terms expressly supersede prior written agreements with you( If any).
In order to use the Services, you must first agree to the Terms. You can accept the Terms by:
(i) Clicking to accept or agree to the Terms, where it is made available to you by Assistance Anytime during the Service provider sign up process , anywhere in the site and in the user interface for any particular Service; or
(ii) Actually using the Services. In this case, you understand and agree that Assistance Anytime will treat your use of the Services as acceptance of the Terms from that point onwards.
Interpretation of this Agreement
In this Agreement, unless the context otherwise requires: (a) headings and information boxes are for convenience only and do not affect interpretation; (b) reference to any document includes reference to that document as amended, novated, supplemented, or replaced from time to time; and (c) if an example is given of anything, such as by saying it includes something else, the example does not limit the scope of that thing.
The domain name www.assistanceanytime.com (hereinafter referred to as “site or website”) is owned by Assistance Anytime and operates as an online marketplace for the display, advertising and sale of various services (approved from time to time by Assistance Anytime) by various Service Providers ( approved from time to time by Assistance Anytime) to the end users (“users”) and provides related services to the Service Providers and to the users of the site on behalf of the Service Provider
Eligibility to use the services
You hereby represent and warrant that you are at least eighteen (18) years of age or above the age of legal majority in your jurisdiction (if different than 18), and are fully able and competent to understand and agree the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms.
You are in compliance with all laws and regulations of Australia when you access and use the Services. You agree to use the Services only in compliance with these Terms and applicable law, and in a manner that does not violate our legal rights or those of any third party(ies).
Changes to the Terms
Assistance Anytime may vary or amend or change or update these Terms entirely at its own discretion including the community Guidelines related to the services from time to time . You shall be responsible for checking these Terms from time to time and ensure continued compliance with these Terms. Your use of AA Platform and/or Site and/or Website after any such amendment or change in the Terms shall be deemed as your express acceptance to such amended/changed terms and you also agree to be bound by such changed/amended Terms.
Supplemental terms may apply to certain Services, such as policies for a particular event, activity or promotion, and such supplemental terms will be disclosed to you in connection with the applicable Services. Supplemental terms are in addition to, and shall be deemed a part of, the Terms for the purposes of the applicable Services. Supplemental terms shall prevail over these Terms in the event of a conflict with respect to the applicable Services.
Translation of the Terms
At its sole Discretion , Assistance Anytime may or may not provide the translation of the English version of the Terms into other languages. You understand and agree that any translation of the Terms into other languages is only for your convenience and that the English version shall govern the terms of your relationship with Assistance Anytime. Furthermore, if there are any inconsistencies between the English version of the Terms and its translated version, the English version of the Terms shall prevail over others.
Term of this Agreement
This Service Provider Agreement starts on the date that you accept the terms and will continue until terminated in accordance with section 5.
Subject to Service Provider’s compliance with these Terms, Assistance Anytime grants Service Provider a limited, non-exclusive, non-sublicensable, revocable, non-transferrable license to:
(i) access and use the Service provider Admin portal & its related Mobile application (“AA Partner”) ; Delivery Management System (“Tookan- Tookan Manager and/or Tookan Agent ”) ; Chat Services (“Hippo”) hereinafter collectively referred as “AA Platform” to upload and edit services and information’s, accept or reject orders , offers discounts and manage deliveries of the service order request ; on your personal device solely in connection with your use of the Services; and
(ii) access and use any content, information and related materials that may be made available through the Services, in each case solely for your commercial use. Any rights not expressly granted herein are reserved by Assistance Anytime.
You may not:
(i) remove any copyright, trade mark or other proprietary notices from any portion of the Services;
(ii) reproduce, modify, prepare derivative works based upon, distribute, licence, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services except as expressly permitted by Assistance Anytime;
(iii) Decompile, reverse engineer or disassemble the Services except as may be permitted by applicable law;
(iv) link to, mirror or frame any portion of the Services;
(v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise
data mining any portion of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services; or
(vi) attempt to gain unauthorised access to or impair any aspect of the Services or its related systems or networks.
Assistance Anytime may restrict you from accessing or using the Services, or any part of them, immediately, without notice, in circumstances where Assistance Anytime reasonably suspects that:
(i) you have, or are likely to, breach these Terms; and/or
(ii) you do not, or are likely not to, qualify, under applicable law or the standards and policies of Assistance Anytime and its affiliates, to access and use the Services.
Assistance Anytime may terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof: immediately, where Assistance Anytime reasonably suspects that:
(i) you have, or are likely to, materially breach these Terms; and/or
(ii) you do not, or are likely not to, qualify, under applicable law or the standards and policies of Assistance Anytime and its affiliates, to access and use the Services; Or
(iii) on 15 days’ written notice to you, where Assistance Anytime, acting reasonably, terminates these Terms or any Services for any legitimate business, legal or regulatory reason.
Without limiting its other rights under these Terms, Assistance Anytime may immediately restrict or deactivate your access to the Services if you breach the Community Guidelines at any time. You may terminate these Terms at any time, for any reason.
The Services and all rights therein are and shall remain Assistance Anytime’s property . Neither these Terms nor your use of the Services convey or grant to you any rights:
(i) in or related to the Services except for the limited licence granted above; or
(ii) to use or reference in any manner Assistance Anytime’s company names, logos, product and service names, trademarks or services marks or those of Assistance Anytime’s licensors (“Marks”).
The Services are made available solely for your commercial use, unless Assistance Anytime has agreed with you otherwise in a separate agreement. You acknowledge that there is no contract of employment between yourself and Assistance Anytime and that you will provide your services as an independent contractor. Further, no agency, partnership or joint venture is created as a result of these Terms or your provision of services to Users. You will not seek and Assistance Anytime will not provide any supervision, directions or control over the individual services that you offer to Users. You will obtain and possess at your own cost and at all times, while accessing and using the Services, the necessary approvals/licenses/tax registrations/insurances required to offer your services to Users. You have no authority to bind Assistance Anytime in any respect. You further acknowledge that Assistance Anytime does not provide any of the services that you offer to Users via the AA Platform and/or Site and/or Website and that Assistance Anytime does not function as a provider of the particular services that you are offering to Users via the AA Platform and/or Site and/or Website. Assistance Anytime only seeks to provide the AA Platform and/or Site and/or Website wherein you and Users can be brought together and has no role in the execution or provision of the services you provide to Users. You are solely responsible for the services that you provide to the Users. Assistance Anytime accepts liability for the Services and Application that it provides to you subject to these Terms. We will not direct or control you generally or in your performance under this Agreement, including in connection with the Delivery Services, your acts or omissions or your operation and maintenance of your Transportation Method. You are under no obligation to use the AA Platform and/or Site and/or Website, and can log into the AA Platform and/or Site and/or Website if, when and where you choose by shutting your store for temporary or permanent basis subject to the terms of this agreement.
Service Provider Obligations
The Service Provider shall Upload its services ( subject to the approval from Assistance Anytime) on Assistance Anytime through AA Platform for the purpose of sale of the Services on Site and/or website . Notwithstanding the foregoing, the Assistance Anytime has the right to refuse to display, or withdraw from the Site and/or Website any Service for sale on the Site and/or Website,
Service Provider services offered for display, advertising and sale on AA Platform shall be non-Exclusive to Assistance Anytime’s AA Platform and/or Site and/or Website . Separate Exclusive agreement will be signed between the Service provider and Assistance Anytime , if service provide provides its services exclusively to Assistance Anytime’s AA Platform and/or Site and/or Website .Such Agreements will be in continuation to this service provider agreement and will subject to lower commissions and other various benefits which may be communicated to the service provider from time to time during the term of this agreement.
Assistance Anytime will enable users to place orders for the Services (s) they wish to purchase on the Site and/or website. Upon receiving the confirmation of the Service Request order by the User the Assistance Anytime will update the details of the confirmation of the service Request order on the Service Provider portal / AA Platform which the Assistance Anytime shall maintain for the Service Provider.
Service Provider may accept or reject Service order Requests at its absolute discretion. However Service Provider cannot cancel accepted orders , if Service Provider cancel the accepted order 5% of the total order value of the rejected service order Request shall be debited from Service Provider’s future Order and/or adjust the amount from the security deposit available ( If Any) with Assistance Anytime . If Service Provider accept an service order request than Service Provider must provide Delivery Services in accordance with the term of this agreement.
You acknowledge that Assistance Anytime does not provide or full fil service request on your behalf and once you accepts the service request , such accepted service order request needs to be fulfilled by you within the time frame as mentioned in service order request. Assistance Anytime only accepts liability for the technology Platform and Applications to book Service order Request that it provides to you subject to these Terms and Conditions.
You acknowledge that Assistance Anytime does not full fill service request on your behalf to the user , Assistance Anytime shall be under no liability under any circumstances where you are providing any services related to buying , repairing and/or replacing the parts ( “Goods”) to full fill the service Request orders. Any warranties related to the goods shall be your responsibility and all claims related to goods warranties shall be borne by you during the term of this agreement. To provide delivery services in the most effective, efficient and safe manner you should ( if required ) buy goods of a satisfactory quality , fit for the purpose and should installed correctly.
It is Service Provider’s responsibility to determine the most effective, efficient and safe manner to provide Delivery Services ;
(i) provide all necessary equipment, tools and other materials necessary to provide Delivery Services at your own cost; and
(ii) pick up items ( in order to fulfil the service request order) from various locations, to fulfil Requests.
(iii) you must at all times do so in a professional manner with due skill, care and diligence; maintain high standards of professionalism, service and courtesy; and
(iv) follow all reasonable instructions given by the user
When providing the Delivery Services, you should wait for at least 15 minutes(“reasonable time”) for a User to accept such service request .You are under no obligation to wait for more than reasonable period of time, but if you do not wait for a reasonable period of time, you may not be entitled to payment.
Service Provider further agrees and confirms to Assistance Anytime and its Users , that in case service provider fails to make the delivery services on time ( time as specified in the service request order ) , with the exception of force majeure ( as defined in these terms) and/or unless and until agreed by the User and/or Assistance Anytime; Re scheduled by the User and/or Assistance Anytime , Assistance Anytime shall deduct 5% of the Service Request order value from Service Provider’s charges or deduct 5% of the Service Request order value from Service provider’s future Service order request or deduct 5% of the Service Request order value from Service Provider’s wallet account or from any deposit deposited as security / advance with assistance Anytime by service provider.
Service Provider shall be allowed to access all features of the AA Platform , However assistance Anytime Shall have all rights to amend , add and/or delete any features of the AA platforms without informing and/or consulting service provider anytime during the term of this agreement. Assistance Anytime shall have all rights to restrict any features of the AA platform for all and/or any particular Service provider at its absolute discretion. Certain Features of the AA Platform are Essential for the effective working of the AA Platform and comes with the default setting ( as pre-defined and/or pre-set by the Assistance Anytime ) and assistance anytime shall provide information to the service provider regarding such features with default setting from time to time to service provider .Assistance Anytime shall not be held responsible / liable for any error in the software and/or errors in providing delivery services , if such default settings are changed by the Service provider during the term of this agreement.
Service provider is obligated to provide all updated documents as demanded by the Assistance Anytime during the sign up process and anytime during the terms of this agreement. Assistance Anytime has given rights to Service provider under this agreement to update such information and documents from time to time in AA platforms , however any documents or information demanded by the assistance Anytime or updated by Service provider found to be wrong or misleading , Assistance Anytime shall have all the rights to block or delete the service provider Account on AA Platform anytime without given any notice to service provider. Such Deletion or blocking of the account may result in deletion of important service provider information related to the business with assistance anytime and service provider hereby further confirms that Assistance anytime shall not be held responsible for any liability arising due to false information and/or documents provided by the service provider. Service provider shall also have the obligation to provide an email at firstname.lastname@example.org every time service provider will update any information or documents in AA Platform.
Service Provider’s Agent(s)
Service Providers may appoint Agents (Service provider’s Employee) to provide Delivery Services on its behalf, in accordance with these terms and any other policy(ies) whether available in present and or available in future including all its amendments. All Provisions of these Terms shall also automatically apply on the agents as well.
Subject to Service Provider’s and its agents compliance with these Terms, Assistance Anytime grants Service Provider Agent(s) a limited, non-exclusive, non-sublicensable, revocable, non-transferrable license to access and use the Delivery Management System (“Tookan Agent ”) and//or Chat Services (“Hippo”)” to manage deliveries of the service order request on Service Provider Agent(s) personal device solely in connection with your use of the Services and as per the terms of this agreement.
Service provider shall all times, Add agent information (within Tookan Manager App) (including but not restricted to full legal name, mobile telephone number, police verification certificate etc.) and maintain the requisite registrations/licenses/ insurances required, if any of the agents you wish to deploy to complete the Service Requests that you undertake to perform. You shall all times maintain all possible insurances of the agent required to perform the delivery services along with police verification certificate , Trade license , Driving license and shall provide the same to Assistance Anytime within 24 hours from the time you will receive the demand notice from Assistance Anytime.
If your and or Your Agents registration/license/ insurance / police certificate expires or is revoked or you or your agent become unable to deliver the Service Requests owing to any reason whatsoever, Assistance Anytime shall have the right to temporary and/or permanently block the access to use the AA Platforms as well as the Terms and Conditions with immediate effect from the date on which the your or your agent(s) registration/license/ insurance / police certificate gets expired from using the Site/Website/AA Platforms and all its Services.
Additionally, you will ensure that all such Agent(s) deployed by you to perform the Service Requests orders will, at all times, possess the requisite authorization/ registration/licenses to drive / Trade License / Insurances to deliver and perform the Service Requests. You undertake that you shall not depute any person to deliver/ perform Service Requests, whose details have not been shared with Assistance Anytime.
Failure to comply with the above will give Assistance Anytime the right, but not the obligation, to temporary and/or permanently block the access to use the AA Platforms as well as the Terms and Conditions with immediate effect.
Service Provider shall, at all times during the term of this agreement maintain Combined General Liability insurance, Professional Indemnity Insurance and any other insurance that is statutorily required to be maintained by you by virtue of the business activities that you are engaged in.
All personnel that you wish to engage to perform Service Requests received via the Assistance Anytime platform shall be trained in accordance with the standard operating procedure and other training modules, as may be provided or updated by Assistance Anytime from time to time. The costs of such training shall be borne by Service Provider. Any act of deviation from the standard operating procedure shall be liable to be penalized.
Service provider shall be liable for the performance of the Service Requests by the personnel engaged by you. Penalties might be imposed on you ( as per the terms of this agreement) upon the occurrence of the events mentioned below:
(i) Late arrival for a Service Request
(ii) Cancellation of a Service Request without due cause
(iii) Deviation, without justifiable cause, from the standard operating procedure stipulated by Urban Company
The quantum of penalty for each of the above occurrences is in accordance with the terms of this agreement and any such penalty not mentioned in this agreement shall be communicated to you either from time to time and or upon occurrence of above events.
You may be asked to deposit security deposit and the quantum of the Security Deposit will be communicated to from time to time. Assistance Anytime shall be entitled to deduct amounts from the Security Deposit towards the penalties as mentioned above or towards any claims brought against Assistance Anytime by Users or third parties for actions directly attributable to you or your agent(s) in relation a Service Requests.
If there is not Security deposit deposited by you with Assistance Anytime or at any point in time the Security Deposit is exhausted, Service Provider shall be required to deposit the Security Deposit and /or Penalty amount within 7 days from the notice sent by Assistance Anytime.
If you fail to provider Security Deposit and /or penalty amount within such period, the Agreement shall be terminated. Subject to any deductions stipulated under this Agreement, Assistance Anytime shall refund the Security Deposit to you upon the termination of the Agreement.
Service Provider relationship with Users
By providing Delivery Services to Users, you create a direct business relationship and direct contract for the provision of those Delivery Services with that User. Because of this direct business relationship and direct contract, you acknowledge that:
(i) Assistance Anytime is not a party to the contract between you and the User;
(ii) Assistance Anytime not responsible or liable for the acts or omissions of any User or Delivery Recipient in relation to the Delivery Services or your Transportation Method; and
(iii) you are responsible for meeting your obligations to those Users and you may be responsible for liabilities to Users, Delivery Recipients or other third parties that directly arise from your acts or omissions or your Transportation Method.
You must not contact any User or Delivery Recipient, or use any of their Personal Data, for any reason other than for the provision of the Delivery Services. You are also responsible for taking reasonable precautions to protect yourself and third parties in relation to the acts or omissions of a User, a Delivery Recipient or other third parties.
Your responsibilities shall also include providing your own equipment (for example, a car and phone), maintaining responsibility for your own tax and insurance arrangements, carrying the risk of providing Delivery Services and obtaining the licences and approvals required to provide Delivery Services. You also agree to provide your services with due skill, care and diligence.
The Service Provider authorizes Assistance Anytime to, on behalf of the Service Provider to provide to users of the Website / AA Platform :
(i) Information and assistance in relation to the listed services and sales thereof,
(ii) Information in relation to status of the order placed by users, and
(iii) Operating a customer helpdesk for other inquiries in relation to services and orders, customer complaints and grievances.
3. Your Use of the Services
Service Provider Accounts
You must be at least 18 years of age or the age of legal majority in your jurisdiction (if different than 18), to obtain an Account, unless a specific Service permits otherwise. Account registration requires you to submit to Assistance Anytime certain personal information, such as your name, address, mobile phone number and age, as well as valid government issued identification and trade licences (if applicable), government approvals allowing you to offer your services, and/or requisite tax registrations. You agree to maintain accurate, complete, and up-to-date information in your Account at all times and you acknowledge that failure to do so shall result in your access to the Services being suspended without notice to you
No person other than yourself has the right to access your account. You agree and acknowledge that you will not allow any other person to access and use your account and that you will not share your login credentials (i.e. your user name and password) with any other person. If it is reasonably suspected by Assistance Anytime that you have shared your login credentials or allowed a person other than yourself to access and use your Account, your access to the Account will be suspended without notice to you. In cases where it is established that you have allowed a person other than yourself to access and use your Account, these Terms will stand terminated and your access to the Services will be permanently revoked without notice to you.
You may only possess one Account .If it is found that you possess multiple Accounts on the AA Platform, your access to all Accounts on the AA Platform will be permanently revoked without notice. You hereby expressly acknowledge and agree that you and not Assistance Anytime will be liable for your losses and damages (whether direct or indirect) caused by an unauthorised use of your Account. Notwithstanding the foregoing, you may be liable for the losses of Assistance Anytime or others due to such unauthorised use.
By creating an Account, you agree that the Assistance Anytime may send you text (SMS) and/or Internet messages ( Messages through internet based Third party messenger applications ) as part of the normal business operation of your use of the Service which includes services order related updates , promotional / offer messages and any other message related to the services of Assistance Anytime. Your consent to receiving such text messages and acknowledge that any steps taken by you to not receive such text messages will affect your use of the Services.
Network Access and Devices
You are responsible for obtaining the data network access necessary to use the Services. Your mobile network’s data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device and you shall be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and Applications and any updates thereto. Assistance Anytime does not guarantee that the Services, or any portion thereof, will function on any particular hardware or devices. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.
Customer Reviews & Ratings
You acknowledge that your continued use of the Services is subject to your maintaining a minimum ratings threshold. The ratings threshold for your particular category and your particular city will be communicated to you either through the Assistance Anytime Platform or via text message or by an Assistance Anytime from time to time. If your ratings fall below the minimum threshold your access to the AA platform will be temporarily blocked. In the event your ratings fall below the prescribed threshold and your access to the Services is temporarily blocked , in that case any decision taken by Assistance anytime shall be final and binding.
You , agents & users have the option on the Assistance Anytime apps to provide feedback (including a rating) about the Delivery Services or, in your case, the User or Agent. If you do provide a rating or feedback, you must provide it in good faith. Feedback and ratings forms the part the Assistance Anytime data.
We are not required to verify any feedback or ratings. We may edit or remove comments if they include obscenities, objectionable content or Personal Data, or if they violate Law or our policies anytime.
Licences and work permits
You must at all times meet requirements by law before you provide Delivery Services or accept service order Requests on the AA platforms / Site / Websites. These include requirements that you:
(i) hold all licences, insurances, permits, work entitlements or status, approvals and authority necessary for you to provide Delivery Services in the Territory and to use your Transportation Method; and
(ii) Meet our background check and should be approved by Assistance Anytime .
Transportation Method Requirements
The Transportation Method used by you must at all times during the term of this Agreement:
(i) meet all requirements as per local transport law, be in a clean and sanitary state, be suitable to provide Delivery Services and be authorised by transport Authority of your region;
(ii) be properly registered and licensed to operate as a delivery vehicle in the Territory, to the extent required by Law; and
(iii) be owned or leased by you, or in your lawful possession
We may check your compliance at any time, and you must provide us with documentation we consider suitable to confirm this. If you breach any of the above requirement at any time, Assistance Anytime may, without liability, stop providing the Assistance Anytime services to you and Assistance Anytime may, without liability, deactivate or restrict your access to the Assistance Anytime Platform.
4. Payment & Taxes
While booking the services on the website , The user shall be making an advance payments for the purchase of the services by way of online payments only or any other legal methods of payment as may be available on the website from time to time , hereinafter referred as “Service Charge”. Assistance Anytime will facilitate such payment of the applicable amount to be paid by the User to you as your limited payment collection agent. Payment of the amount payable by the User in such manner shall be considered the same as payment made directly by the User to you. Such payments will be inclusive of applicable taxes where required by law. Amounts paid by the User to you are final and non-refundable, unless otherwise determined by Assistance Anytime or required by the Australian consumer law.
In case of any additional services ( means any and all services which are not Services as set forth in the Service Request order , but performed by Service Provider /Agent upon request of user ) and / or any extension of the service time ( in case of time based Service Request order) , user shall be liable to pay Extra service charge hereinafter referred as “Additional Amount”. The user shall be given the choice to make such Additional Amount by way of online payments only or any other legal methods of payment as may be available on the website from time to time.
You agree and acknowledge that the amount to be paid by a User for the services offered by you may vary based on geographical areas, population density, time periods, demand, weather and traffic conditions, local or national holidays, particular days of the week and other factors that might be determined by Assistance Anytime from time to time.
Assistance Anytime does not designate any portion of the payment received by you as a tip or gratuity from the User. You understand and agree that, while Users are free to provide Tips as a gratuity to you, the Users are under no obligation to do so. Gratuities are voluntary. The Service Charges does not include any tips. Users may pay tips, either directly to you in cash or through the Website online. Assistance Anytime will not apply a Service Fee to any of your tips. Assistance Anytime will facilitate such payment of the applicable amount to be paid by the User to you as your limited payment collection agent .
Any representation by Assistance Anytime on the Assistance Anytime Platform to the effect that tipping is ‘voluntary,” “not required,” and/ or “included” in the payments made for services provided is not intended to suggest that Assistance Anytime provides any additional amounts, beyond those described above.
In exchange for the Assistance Anytime Services , you agree to pay assistance anytime in accordance with the terms of this agreement a service fee equivalent to 15% of the Service charge and/or Additional amount.
Anytime Assistance will remit to you, on at least a weekly basis:
(i) Service Charges ( after deducting applicable Service Fees as per the terms of this agreement)
(ii) Additional Amount ( after deducting applicable Service Fees as per the terms of this agreement)
(iii) any tips paid by User ( Service fees not applicable on the Tips)
Anytime will not remit to you any charges other than the charges mentioned above.
If Assistance Anytime discovers payment processing errors that result in additional amounts being paid to you, or there is an adjustment required under these terms, Assistance Anytime may deduct the amount from future Service Charges, debit the amount from your assistance Anytime wallet , Security deposit , Credit or debit card or bank account or seek reimbursement by other lawful means.
Assistance Anytime may amend the Service Fee or introduce a new model to determine the Service Fees payable by you during the term of this agreement. Assistance Anytime will let you know, in accordance with terms of this agreement, at least 15 days before making any change to the Service Fee that will be detrimental to your rights under this Agreement.
From time to time, Assistance Anytime may, at its discretion, offer an incentive plans to you if you satisfy certain conditions determined by Assistance Anytime and communicated to you (in promotional materials, via text message, email or another method). You are under no obligation to participate in any incentive offering. Any incentive payment is subject to the applicable conditions and is inclusive of tax (if any).
Assistance Anytime will prepare and issue real time reports in the commission sections of the AA platform setting out a breakdown of the Service charge amount charged for the Delivery Services to Users on your behalf including user voluntary tips ( if any). These real time reports breakdown will also contains the details of the service fees charges by Assistance Anytime per order.
However the real time reports are for the reference purpose only and the final payment report including service charges , Additional amounts , Voluntary tips and deductions of service fees shall be shared with service provider’s on its registered email address at least once in a week.
You understand that Assistance Anytime is acting solely as an intermediary for the collection of payments and fees between Users and you, State and local tax laws vary significantly by locality and you, therefore, understand and agree that you are solely responsible for determining your own tax reporting requirements in consultation with tax advisors. You are responsible for completing all tax registration obligations and for calculating and remitting all tax liabilities related to your provision of Delivery Services as required by Law, and for providing Assistance Anytime with all relevant business and tax information.
Assistance Anytime may, as required by Law, collect and remit taxes resulting from your provision of Delivery Services and provide such tax information to you directly and/or directly to tax authorities as well.
Assistance Anytime cannot and does not offer tax advice to you. Further, you understand that Assistance Anytime shall not be responsible or liable in any manner in relation to tax liability that you may incur.
Additionally, any other applicable taxes (whether direct or indirect) that are liable to be deducted on your behalf will be done so by Assistance Anytime and the payment due to you from the Users will be net of such deductions towards applicable taxes. No Discrimination.
You must indemnify, defend (at Assistance Anytime option) and hold harmless Assistance Anytime and their Affiliates from any Tax Liability that may be imposed on you or any of them as a result of your failure to comply with any of your tax obligations, including any such liability arising in the event that the relationship described in this Agreement, contrary to the intention and meaning of the parties, is held or deemed to be an employment agreement between Assistance Anytime and you by the any of the Australian taxation authority. Any amount payable by us to you may be reduced by any such amount.
5. Suspension and Termination
Assistance Anytime may restrict you from accessing or using the Services, or any part of them, immediately, without notice, in circumstances where Assistance Anytime reasonably suspects that;
(i) you have, or are likely to, breach these Terms; and/or
(ii) you do not, or are likely not to, qualify, under applicable law or the standards and policies of Assistance Anytime and its affiliates, to access and use the Services. Or
Assistance Anytime may terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof:
immediately, where Assistance Anytime reasonably suspects that:
(i) You have, or are likely -to, materially breach these Terms; and/or
(ii) you do not, or are likely not to, qualify, under applicable law or the standards and policies of Assistance Anytime and its affiliates, to access and use the Services; or
(iii) where Assistance Anytime, acting reasonably, terminates these Terms or any Services for any legitimate business, legal or regulatory reason.
Effect of Termination
Upon termination of these Terms, your right to participate in the AA Platform, including, but not limited to, your right to offer or purchase services and your right to receive any fees or compensation, including, without limitation, referral discounts, incentive bonuses, or other special offer rewards, shall automatically terminate, In the event of termination, your Account will be disabled and you may not be granted access to your Account or any files or other data contained in your Account. Notwithstanding the foregoing, residual data may remain in the Assistance Anytime system.
Upon termination, the following shall occur: all licences granted to you hereunder will immediately ‘terminate; and you shall promptly destroy all copies of Assistance Anytime data, Marks and other content in your possession or control. You further acknowledge and agree that Assistance Anytime shall not be liable to you or any third party for any termination of your access to the AA Platform. Upon termination, Assistance Anytime retains the right to use any data collected from your use of the AA Platform for internal analysis and archival purposes, and all related licenses you have granted Assistance Anytime hereunder shall remain in effect for the foregoing purpose. In no event is Assistance Anytime obligated to return any Service Provider Content to you.
Any term which by its nature is intended to survive expiration or termination of these Terms shall survive expiration or termination of these Terms.
6. Disclaimers , Statutory Guarantees , Limitation of Liability; Indemnity.
The services are provided “as is” and “as available.” to the maximum extent permitted by law assistance anytime disclaims all representations and warranties, express, implied or statutory not expressly set out in these terms, including any implied warranties of non-infringement, and makes no representation, warranty, or guarantee regarding the reliability , timeliness, quality, suitability or availability of the services or any services requested through the use of the services, or that the services will be uninterrupted or error-free, Assistance Anytime does not guarantee your safety while delivering service requests. you agree that the entire risk arising out of your use of the services and any service or good requested in connection therewith remains solely with you, to the maximum extent permitted under applicable law.
You acknowledge and agree that we will use various tools from time to time to manage marketplace conditions, including supply and demand, with a view to ensuring the efficient operation of the marketplace for all participants. You acknowledge and agree that Assistance Anytime make no guarantee in relation to the number of items you will deliver via the Assistance Anytime / AA Platform , or the number of Users that will be able to engage you to provide Delivery Services using the Assistance Anytime / AA Platform.
Assistance Anytime does not exclude, restrict or modify any liability that cannot be excluded, restricted or modified, or which cannot be excluded, restricted or modified except to a limited extent, as between Assistance Anytime and you by law including liability under the competition and consumer act 2010 *(Cth). However, where such statutory provisions apply, to the extent to which Assistance Anytime is entitled to do so, Assistance Anytime’s liability will be limited at its option to:
(i) the supply of the services again; or
(ii) the payment of the cost of having the services supplied again.
Limitation of Liability
Assistance Anytime shall not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including lost profits, lost data related to, in connection with, or otherwise resulting from any use of the services, even if Assistance Anytime has been advised of the possibility of such damages, Assistance Anytime shall not be liable for any damages, liability or losses arising out of:
(i) your use of or reliance on the services or your inability to\access or use the services; or
(ii) any transaction or relationship between you and any user, even if assistance anytime has been advised of the possibility of such damages.
Assistance Anytime shall not be liable for delay or failure in performance resulting from causes beyond Assistance Anytime’s reasonable control and in no event shall Assistance Anytime total liability to you in connection with the services for all damages, losses and causes of action exceed AUD 500 . Assistance Anytime will maintain a complaints management framework, and will manage this framework on your behalf, in a reasonable way and in accordance with applicable law.
You agree to indemnify and hold Assistance Anytime and its affiliates and their officers, directors, employees and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees) arising out of or in connection with:
(i) Your use of the Services or services or goods obtained through your use of the Services;
(ii) Your breach or violation of any of these Terms;
(iii) Assistance Anytime use of your User Content; or
(iv) Your violation of the rights of any third party, including Users (“Losses”).
Your liability under this clause shall be reduced proportionately if, and to the extent that Assistance Anytime directly caused or contributed to any such Losses.
7. Governing law; Arbitration
There are a number of mechanisms available to you to resolve any dispute, conflict, claim or controversy arising out of or broadly in connection with or relating to the Services or these Terms, including those relating to its validity, its construction or its enforceability (any ‘Dispute”). Assistance Anytime or its affiliate operates a complaints process to allow you to make complaints about Assistance Anytime or Users, and Assistance Anytime or its affiliate also manages refunds to you in relation to those complaints, Assistance Anytime or its affiliate will operate this complaints process in a reasonable manner.
These terms shall be exclusively governed by and constructed in accordance with the laws in force in victoria , Australia.
To raise a dispute you may first contact an Assistance Anytime either through a chat feature available on the website / AA platform and/or by writing us at email@example.com and /or by visiting Assistance Anytime’s local city office. The parties shall first attempt to amicably settle the dispute through Mediation and If the dispute between the Parties cannot be resolved through Mediation within a period of 90 days either party may pursue final and binding arbitration or other alternative dispute resolution process. The seat and the venue of the arbitration shall be Melbourne , Victoria.
Any proceedings, including documents and briefs submitted by the parties, correspondence from a mediator, and correspondence, order and awards issued by an arbitrator, shall remain strictly confidential and shall not be disclosed to any third party without the express written consent from the other party unless the disclosure to the third party is reasonably required in the context of conducting the mediation or arbitration proceedings; and/or the third party agrees unconditionally in writing to be bound by the confidentiality obligation set out in these Terms

You can purchase Assistance Anytime Brand Collateral from Assistance Anytime. While it is not mandatory to do so, to promote trust and safety with Users it is advisable to purchase and use Assistance Anytime Brand Collateral while using the Services and fulfilling service requests placed by Users.
Before gaining access to the Services and being allowed to receive Service Request order you and your agents are required to watch training videos available on the website. The purpose of the training videos is to enable you to understand how the AA Platform works and to ways and means to maximise your earning potential on the AA Platform
Ownership of intellectual property rights
Assistance Anytime own all rights in the AA Platform and all Assistance Anytime Data, including all intellectual property rights associated with them. The only rights granted to you to the AA Platform or Assistance Anytime Data are the rights set out in this Agreement
Assistance Anytime Names, Marks or Works
Other than as permitted by us or as required by Law, you must not use any of our names, logos, colours, trademarks, service marks, copyrights, slogans or other identifying symbols or indicia (registered or unregistered) of ownership or copyright ( Assistance Anytime Names, Marks, or Works) for any commercial purpose. You must not create or register any (a) businesses, (b) URLs, (c) domain names, (d) software application names or titles, or (e) social media handles or profiles that include Assistance Anytime Names, Marks, or Works or any confusingly or substantially similar mark, name or title. You must not use Assistance Anytime Names, Marks, or Works as your social media profile picture or wallpaper without Assistance Anytime’s express written permission. You must not purchase keywords (including Google AdWords) that contain any Assistance Anytime Names, Marks, or Works and you must not display any Assistance Anytime Names, Marks or Works on your Transportation Method or wear a uniform or any other clothing displaying any Assistance Anytime Names, Marks or Works (unless we have agreed otherwise, or if required by Law). Also, you must not register, or attempt to register or otherwise use or claim ownership of any Assistance Anytime Names, Marks or Works.
Your representations and warranties
You represent and warrant throughout the term of this Agreement that you and your agents have full power and authority to enter into this Agreement and perform your obligations under this Agreement, you have not entered into, and during the term of this Agreement will not enter into any agreement that would prevent you from complying with this Agreement and you will comply with all applicable Laws in your performance of this Agreement.
Assistance Anytime prohibits discrimination against other service providers or users based on race, religion, caste, national origin, disability, sexual orientation, sex, marital status, gender identity, age or any other characteristic protected under applicable law. Such discrimination includes, but is not limited for any your refusal to provide services based on any of these characteristics. If it is found that you have violated this prohibition you will lose access to the Assistance Anytime platform. Applicable laws in certain jurisdictions may require and/or allow the provision of services by and for the benefit of a specific category of persons. In such jurisdictions, services provided in compliance with these laws and the relevant applicable terms are permissible.
You may not assign or transfer these Terms in whole or in part without Assistance Anytime’s prior written approval (which will not be unreasonably withheld).
You give your approval to Assistance Anytime for it to assign or transfer these Terms in whole or in part, including to:
(i) a subsidiary or affiliate;
(ii) an acquirer of Assistance Anytime’s equity, business or assets; or
(iii) a successor by merger.
No joint venture, partnership, employment or agency relationship exists between you, Assistance Anytime or any User as a result of the contract between you and Assistance Anytime or use of the Services. If any provision of these Terms is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or part thereof shall to that extent be deemed not to form part of these Terms but the legality, validity and enforceability of the other provisions in these Terms shall not be affected. In that event, the parties shall replace the illegal, invalid or unenforceable provision or part thereof with a provision or part thereof that is legal, valid and enforceable and that has, to the greatest extent possible, a similar effect as the illegal, invalid or unenforceable provision or part thereof, given the contents and purpose of these Terms. These Terms, including any incorporated policies, constitute the entire written agreement and understanding of the parties with respect to its subject matter and replaces and supersedes all prior or contemporaneous written agreements or undertakings regarding such subject matter.
In these Terms, the words Including” and ‘include” mean “including, but not limited to.”
In no event either party shall be responsible or liable for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, epidemics, communications or computer (software and hardware) services; it being understood that the parties shall use reasonable efforts to resume performance as soon as practicable under the circumstances.

We deal with personal information in accordance with the Privacy Act 1988 (Cth) (“Privacy Act”) and the Australian Privacy Principles (“APPs”). The APPs govern how we can collect, use, hold and disclose your personal information, as well as ensuring the quality and security of your personal information. Assistance Anytime Services constitute the provision of a technology platform that enables you, a user of Assistance Anytime’s mobile application or website (each, an “Application”) to:

(ii) Facilitate payments to Third Party Providers for the services and receive receipts for those payments.

We do not knowingly collect or solicit personal information from or knowingly allow individuals under the age of 18 or under or the age of legal majority in your jurisdiction (if different than 18), to register for the Site / AA Platform or Service or Assistance Anytime Platform (as that term is defined in our Terms and Conditions).
